Welcome to D-GN that is operated by Data Guardian Tech Limited, a company registered in the British Virgin Islands. D-GN is a blockchain-based gaming platform featuring NFTs, staking, marketplaces, and reward-based engagement features. By accessing and using D-GN, you accept these Terms governing our services. Additional guidelines and policies may apply for specific activities, which are incorporated by reference into these Terms.

To access full gaming and marketplace functionalities, users must meet eligibility criteria and adhere to account security standards:

• Users must be at least 18 years old or the applicable age of majority in their jurisdiction.
• Provide truthful, accurate, current, and complete personal information when registering, promptly updating any changes.
• Maintain confidentiality of account credentials and safeguard blockchain wallet private keys.
• Notify legal@dataguardians.xyz immediately of suspected unauthorized account usage or security breaches.
• Creation of multiple accounts without explicit permission is prohibited and may result in account merging or termination.
• Users are liable for all activities under their accounts or connected wallets and may incur liabilities for negligence.

D-GN offers a blockchain ecosystem for NFTs and digital assets with clear ownership terms:

• Acquiring an NFT transfers ownership of the blockchain token to your wallet, but does not automatically grant intellectual property rights to the underlying artwork or content.
• NFT ownership grants users a limited, non-exclusive, license for personal, non-commercial use of the associated content unless otherwise specified.
• Users minting NFTs must possess necessary content rights and grant D-GN the right to display or sell minted NFTs on the platform.
• Marketplace transactions conducted via blockchain smart contracts are irreversible; carefully verify details before confirming transactions.
• Trading restrictions, including KYC requirements or transaction freezes, may be imposed for legal compliance or ecosystem fairness.
• External NFT transactions outside the platform occur at users’ risk; D-GN does not guarantee security of external transactions.
• Smart contracts governing NFTs, staking, and token features control transaction execution. In conflicts, smart contract rules prevail; however, these Terms govern overall user-platform relationships.

Staking programs offer potential rewards, governed by specific terms and user responsibilities:

• Users retain ownership of staked tokens or NFTs, which are locked in smart contracts during the staking period.
• Staking rewards are not guaranteed and may fluctuate or result in zero returns.
• Users acknowledge staking risks, including smart contract vulnerabilities, market volatility, and liquidity limitations.
• Specific staking program rules (e.g., minimum staking amounts, lock-up durations) must be followed; violations may lead to disqualification or reward forfeiture.
• Users are responsible for tax obligations related to staking rewards.
• D-GN reserves the right to modify or terminate staking programs and will reasonably notify users of significant changes.

Users must adhere strictly to guidelines ensuring fair play, ethical AI usage, and compliance with platform rules:

• Prohibition of cheats, bots, hacks, exploits, or unfair advantage methods in games or activities.
• Artificial intelligence usage must align with intended game rules, avoiding gameplay undermining or deceptive practices.
• Marketplace integrity requires abstention from price manipulation, wash trading, fraudulent listings, or dishonoring sale obligations.
• Respectful interaction mandatory; harassment, threats, hate speech, or rights violations strictly prohibited.
• Unauthorized attempts to access platform areas or data, or malware distribution is forbidden.
• Uploaded content must comply with intellectual property laws and users must have rights to all submitted material.
• Use of platform services for illegal activities (e.g., money laundering, terrorism financing) is strictly forbidden.
• Non-compliance may result in content removal, account suspension or termination, and legal consequences.

Engagement with blockchain assets carries financial risks and user responsibilities:

• Asset volatility acknowledged; NFTs and tokens can experience significant value fluctuations.
• D-GN does not provide financial or investment advice; users must independently assess asset risks.
• Users assume all financial responsibilities, including blockchain network transaction fees.
• Tax reporting and payment obligations related to NFT and token activities are solely user responsibilities.
• D-GN disclaims liability for losses from market movements, hacks, smart contract errors, or erroneous blockchain transactions.
• D-GN retains rights to modify token mechanisms or game economy structures for stability and compliance.
• Users assume inherent blockchain risks such as forks, consensus failures, and smart contract bugs.

D-GN content and associated intellectual property rights have clearly outlined usage permissions:

• Platform content (games, code, graphics, art, trademarks) is owned by D-GN or licensors; users receive a limited, non-commercial usage license.
• NFT ownership provides limited usage rights; underlying content IP rights remain with original creators unless otherwise stated.
• User-generated content submissions grant D-GN licensing rights for operational and promotional platform usage.
• Trademarks, logos, or service names are proprietary; copying or unauthorized usage is prohibited without explicit permission.
• Reverse engineering or automated data extraction (scraping, bots) without consent is strictly forbidden.
• Feedback or suggestions provided by users become intellectual property of D-GN to utilize freely.

D-GN services are provided with clear disclaimers and liability limits to protect users and platform integrity:

• Services provided 'as is' without express or implied warranties, including merchantability, fitness, or uninterrupted service.
• No liability for indirect, incidental, consequential, or special damages (e.g., lost profits, data loss) arising from service usage.
• Total liability limited to greater of fees paid in previous six months or USD $100.
• Users indemnify and hold D-GN harmless for claims from misuse, negligence, or breach of terms.
• Liability limitations do not apply to gross negligence, fraud, intentional misconduct, or liabilities not excludable by applicable law.

Account usage and termination policies protect users and platform stability:

• Users may cease platform usage or request account deletion anytime; blockchain-held assets remain with users, but platform features may no longer be accessible.
• D-GN reserves rights to suspend or terminate accounts for violations, inactivity, fraudulent behaviors, or platform integrity risks.
• Intellectual property provisions, dispute resolutions, and liability limitations survive account terminations.

Disputes between users and D-GN will be arbitrated following clearly defined procedures under British Virgin Islands jurisdiction:

• Disputes resolved through binding arbitration administered by BVI International Arbitration Centre.
• Single arbitrator with relevant expertise shall preside over arbitration cases.
• Disputes conducted individually; no class, consolidated, or representative actions permitted.
• Exceptions include small claims and urgent court-ordered equitable relief, especially involving intellectual property or unauthorized access.
• Arbitration proceedings and outcomes are confidential.

D-GN reserves the right to adjust platform features and terms to reflect evolving best practices and compliance:

• Platform services, content, or features may be modified, suspended, or discontinued at D-GN’s discretion.
• Material updates to Terms will be communicated; continued use signifies acceptance of revised terms.

Additional provisions clarify understanding and application of these Terms:

• Terms constitute entire agreement between users and D-GN.
• Severability of provisions preserves Terms validity despite unenforceability of individual clauses.
• Failure to enforce rights does not waive future enforcement.
• Assignment of Terms by users prohibited; D-GN may assign terms in corporate transactions.
• D-GN not liable for events beyond reasonable control (force majeure).
